(the “Company”), with and into Cardax Pharma, Inc. (“Cardax Pharma”), a development stage life sciences company and a wholly-owned subsidiary of Cardax Pharmaceuticals, Inc., and as contemplated by the merger agreement, the Company expects to issue and sell shares of its common stock to certain investors on the closing date of the merger.
